These Terms and Conditions govern your use of vexproductstudio.com and any product partnership or service engagement with Vex Product Studio, operated by Fiona Redden under Kairi Vex Enterprises ("we," "us," "our"). By using this website or entering into a partnership, you agree to these terms.

1. Services

Vex Product Studio offers product development partnerships for creators, influencers, coaches, and audience-led brands. Services may include but are not limited to:

• Digital product strategy, structure, and creation (guides, workbooks, mini-courses)
• Launch asset development (sales page copy, visuals, product mockups)
• Storefront and membership asset creation
• Interactive resource development (HTML tools, trackers, dashboards)
• Product ecosystem mapping and development

The specific scope of services for each partnership is agreed upon during a Product Fit Call and documented before work begins.

2. Partnership Model & Revenue Share

Vex Product Studio operates on a revenue share model. The standard arrangement is:

Revenue share arrangements apply only to products built in partnership with Vex Product Studio. Products you build independently are not subject to this agreement.

3. Intellectual Property

All content, products, and assets developed under a VPS partnership are built using your voice, brand, audience insight, and direction. Upon completion and any applicable payment arrangements:

• You retain ownership of your audience, brand, and content
• Jointly developed products are owned by you with revenue share applying as agreed
• Vex Product Studio retains the right to reference completed work as proof of capability (e.g. in portfolio or on this website) unless you request otherwise in writing

4. Your Responsibilities

As a partner, you agree to:

• Provide accurate information about your audience, brand, and goals
• Participate in the alignment process — providing feedback and approvals within agreed timelines
• Ensure you have rights to any content, images, or materials you provide to us
• Not represent VPS-built products as entirely your own creation in contexts where it would be misleading

5. Revisions and Scope

Each partnership includes a defined scope and alignment process. This is not an unlimited revision agreement. Revisions are welcomed as part of the build process; however, significant scope changes after work has begun may require a revised agreement.

6. Booking Calls

Booking a Product Fit Call does not constitute a service agreement or commitment from either party. It is an exploratory conversation to determine whether a partnership makes sense. No payment is required to book a call.

7. No Guarantees

We will build with skill, intention, and care. However, Vex Product Studio does not guarantee specific revenue outcomes, follower growth, or sales results. Product success depends on many factors including your audience, timing, and market conditions that are outside our control.

8. Limitation of Liability

To the fullest extent permitted by law, Vex Product Studio and Kairi Vex Enterprises shall not be liable for any indirect, incidental, or consequential damages arising from the use of this website or any partnership arrangement. Our total liability in any circumstance shall not exceed the amounts paid under a specific partnership agreement.

9. Website Use

You may use this website for its intended purpose — learning about our services and booking a call. You may not:

• Reproduce or repurpose content from this site without written permission
• Use this site for any unlawful purpose
• Attempt to disrupt or interfere with the site's functionality

10. Governing Law

These Terms are governed by the laws of Ontario, Canada. Any disputes arising from these terms or a partnership arrangement will be handled in good faith first. If unresolved, they will be subject to the jurisdiction of Ontario courts.

11. Changes to These Terms

We may update these Terms from time to time. Changes will be posted here with a revised date. Continued use of the site after changes are posted means you accept the revised terms.
